Terms of Service

Version 3 · Effective date: 4 October 2026

1. About These Terms

These Terms of Service ("Terms") are an agreement between you and ScribeInk Pte. Ltd. (UEN 202302364R), a company registered in Singapore and trading as Scribe.sg ("Scribe.sg", "we", "our" or "us"). They govern everything we provide: our website, the Scribe.sg platform and its apps, extensions, tools and APIs (the "Platform"), and any services we perform for you (together, the "Services").

You accept these Terms when you agree to them at sign-up or checkout, pay an invoice or payment link from us, create an account, or use the Services. If you accept them for an organisation, you confirm you may bind it, and "you" means that organisation. Our Privacy Policy forms part of these Terms.

If we agree a quote, order form or other written confirmation with you, it applies together with these Terms and prevails on the matters it specifically covers, such as scope and price.

2. The Services

We provide AI workflow automation. You may use the Platform yourself, have our team build and run automated workflows ("Workflows") for you, or both. What we do for you is what your plan or quote sets out; anything else is new work that we agree separately. We may change, improve or withdraw features of the Platform from time to time.

3. Your Account and Responsibilities

You agree to:

  • give us accurate information and keep it up to date;
  • keep your sign-in details and keys secure, and tell us promptly if you think they have been compromised; you are responsible for activity under your account;
  • have the right to use, and to let us process, everything you put into the Services, including the authority to connect the third-party accounts and websites your Workflows use;
  • have a lawful basis, and any consents and notices required, for the personal data you ask us to process; and
  • use the Services in compliance with all applicable laws.

4. Acceptable Use

You must not use the Services to:

  • do anything unlawful, fraudulent, deceptive or harmful;
  • infringe anyone's intellectual property, privacy or other rights;
  • send spam or malware, or break the terms of any platform, website or AI provider your Workflows use; or
  • get around the Services' security, access controls or usage limits, or disrupt them.

We may suspend or end your access, and remove content, if we reasonably believe you have broken this section or the law requires it.

5. Your Content and Data Protection

You own the content and data you put into the Services and the results your Workflows produce ("Your Content"). You give us a licence to host, copy, process and transmit Your Content only as needed to provide the Services, including sending it to the AI providers and connected services your Workflows use.

When we process personal data in Your Content, we do so on your behalf as a data intermediary under Singapore's Personal Data Protection Act 2012 (PDPA). We will process it only to provide the Services, protect it with reasonable security arrangements, use service providers bound to protect it, ensure comparable protection when it is transferred outside Singapore, keep it only as long as needed, and tell you without undue delay of any data breach affecting it. Our Privacy Policy covers the personal data we collect about you as our customer.

6. AI and Automation

Workflows use AI models and other services operated by third parties. AI outputs can be inaccurate or incomplete. You are responsible for reviewing outputs before you rely on them, for the decisions you make with them, and for the actions your Workflows take on your instruction, including on third-party websites and accounts. Nothing the Services produce is medical, financial, tax, legal or other professional advice.

7. Intellectual Property

The Platform, its software and materials, and all Workflows, however created (by you on the Platform, with AI tools, or by our team), are our intellectual property or our licensors'. They never include Your Content.

While your fees are paid, we grant you a non-exclusive, non-transferable, revocable licence to use the Platform and your Workflows on it for your internal business purposes. You must not copy Workflows outside the Platform, reverse-engineer the Platform or a Workflow except as the law allows, resell or sublicense either, or use either to build a competing service. We may use feedback you give us freely.

8. Fees and Payment

  • Prices. Fees are as shown in the Platform or on our pricing page, or as set out in your quote, in Singapore dollars. They exclude GST; we are not registered for GST and will add it only if we register.
  • Subscriptions. Subscriptions are billed in advance through our payment processor and renew each billing period until cancelled. A plan may be priced per person and may include usage credits. Adding a person or upgrading may be charged straight away for the rest of the period; removing a person, downgrading or cancelling takes effect from the next period. Usage beyond what your plan includes, up to any limit your administrator sets, is charged on your next invoice. A free trial becomes paid at its end unless you cancel before then.
  • Invoices. Invoices and payment links are payable by the date they show. Setup fees are non-refundable once work has started.
  • No refunds. Unless the law requires otherwise, fees are not refundable, including for part of a period or unused credits.
  • Late payment. If a payment fails or is late, we may suspend the Services until it is made.
  • Price changes. We will give at least 30 days' notice of a price change. It applies from your next billing period, and you may cancel before then.

9. Term and Termination

These Terms apply while you use the Services. You may cancel a subscription in the Platform, and either of us may end other recurring Services with 30 days' written notice (email is enough). Either of us may end these Terms at once if the other materially breaches them and does not fix the breach within 14 days of notice, or becomes insolvent.

When the Services end, amounts due remain payable and your licence ends. You can export Your Content for 30 days, after which we may delete it, except what the law requires us to keep.

10. Warranties

We provide the Services with reasonable skill and care. To the extent the law allows, we give no other warranties, and we do not promise the Services will be uninterrupted or error-free or guarantee any level of availability unless your quote says so.

11. Limitation of Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or that cannot be limited by law. Subject to that:

  • our total liability for all claims relating to these Terms or the Services will not exceed the greater of the fees you paid us in the 12 months before the claim arose and S$1,000;
  • we are not liable for indirect or consequential loss, or for loss of profit, data or business; and
  • we are not liable for AI outputs, for actions your Workflows take on your instruction, or for third-party services.

12. Your Indemnity

You will indemnify us against third-party claims, and the reasonable costs of them, arising from Your Content, your instructions, or your breach of these Terms or the law.

13. Confidentiality

Each of us will keep the other's non-public information confidential and use it only for the Services, except where it is already public, the law requires disclosure, or it is shared with service providers who need it to provide the Services.

14. Third-Party Services

The Services connect to services we do not control. We are not responsible for them, their availability or their terms, and you are responsible for your own accounts with them.

15. Changes to These Terms

We may update these Terms. We will tell customers about material changes by email or in the Platform at least 14 days before they take effect, and you may cancel before then. Using the Services after a change takes effect means you accept it. Earlier versions stay available at the foot of this page.

16. General

These Terms, with any quote that applies, are our entire agreement on their subject. Neither of us is liable for delays caused by events beyond our reasonable control (other than a failure to pay). We may assign these Terms as part of a sale or reorganisation of our business. If any part is unenforceable, the rest continues. No one else may enforce these Terms. They may be accepted electronically, which is as binding as a signature.

These Terms are governed by Singapore law. We will first try to resolve any dispute by good-faith discussion and, failing that within 30 days, by mediation at the Singapore Mediation Centre. Otherwise, the courts of Singapore have exclusive jurisdiction, unless your quote provides for arbitration. Sections on Your Content, intellectual property, fees owed, liability, indemnity, confidentiality and this section survive the end of these Terms.
